1:Definitions and Interpretation

In these Terms and Conditions, the following terms have the following meanings:

“We” or “Company”: Means Stillora and all its affiliated entities, subsidiaries and representatives.

“You” or “Customer”: Means importers, wholesalers or distributors who register accounts on this website and conduct transactions with us.

“Products”: Means indoor slippers and related merchandise provided by us.

“Order”: Means a purchase order submitted by you to us through the website or other means.

“Quote”: Means a price quotation provided by us based on your purchasing requirements.

  • All quotes are valid for 30 days unless otherwise stated in writing

  • Quotes do not constitute a sales offer, but only an invitation to quote

 

3.3 Order Confirmation

  • After you submit an order, we will confirm it by email within 24 hours
  • Order confirmation does not constitute a sales contract, only a confirmation of order receipt
  • After order confirmation, both parties should sign a formal written purchase contract according to our standard terms

 

3.4 Minimum Order Quantity

All orders must meet the specified minimum order quantity (MOQ). If the order quantity is below the MOQ, we have the right to refuse the order or require an increase in order quantity.

 

4.Orders and Payment

4.1 Order Submission

You can submit orders through:

  • The online quote system on the website
  • Email with purchase orders
  • Phone or other communication methods

 

4.2 Payment Methods

We accept the following payment methods:

  • L/C (Letter of Credit): Irrevocable sight letter of credit
  • T/T (Telegraphic Transfer): 30% deposit + 70% payment upon receipt of copy of bill of lading
  • Other methods: As agreed by both parties

 

4.3 Payment Terms

  • All prices are FOB Shanghai Port
  • The importer is responsible for all international transportation, insurance and customs clearance fees
  • Payment should be made according to the agreed terms after order confirmation
  • Late payment will incur interest of 1.5% per month

 

4.4 Invoice

  • We will send a formal invoice after receiving payment or L/C
  • The invoice should match the order contents
  • Once issued, the invoice cannot be changed

 

5.Delivery Time and Delivery

5.1 Delivery Time Calculation

Delivery time is calculated from:

  • For L/C payment: From the date of L/C confirmation
  • For T/T payment: From the date of deposit receipt

 

5.2 Standard Delivery Time

  • Standard delivery time is 45-55 days
  • Delivery time may be extended due to order quantity, product complexity or force majeure
  • Any extension of delivery time should be notified in advance by email

 

5.3 Delivery Location

  • Delivery location is Shanghai Port
  • All risks and responsibilities after delivery are borne by the importer

 

5.4 Delivery Delays

  • We will make every effort to deliver products on time
  • We are not responsible for delays caused by force majeure (such as natural disasters, war, political events, etc.)
  • If delays exceed 30 days due to our fault, the importer has the right to cancel the order and request a refund

 

5.5 Partial Delivery

We reserve the right to deliver products in batches. Each batch delivery shall be treated as a separate transaction.

 

6.Quality and Returns

6.1 Quality Assurance

  • All products undergo strict quality inspection before shipment
  • We guarantee that products comply with the specifications and standards specified in the order
  • We guarantee that products are free from defects under normal use conditions

 

6.2 Quality Disputes

  • The importer should raise quality disputes within 30 daysof receipt
  • Quality disputes should include a detailed description of the problem and photographic evidence
  • Disputes raised after the deadline will not be accepted

 

6.3 Return Process

  • The importer submits a quality dispute and return request to us
  • We review the request within 5 business days
  • If the dispute is valid, we will:
    • Replace the defective products
    • Or provide a partial refund
    • Or provide a full refund (depending on the situation)
  • The importer bears the cost of return shipping

 

6.4 Non-Returnable Cases

We do not accept returns in the following cases:

  • Product defects are caused by the importer
  • Products have been used or modified
  • The importer exceeds the 30-day dispute period
  • Product damage is caused by improper transportation, storage or handling

 

7.Intellectual Property

7.1 Website Content Ownership

All content on the website, including but not limited to:

  • Text, images, design, layout
  • Product photos and descriptions
  • Trademarks and logos
  • Code and software

Are our proprietary property, protected by international intellectual property laws.

 

7.2 Usage Restrictions

You may not, without our written permission:

Any dispute shall be resolved according to the following steps:

  • Friendly Negotiation(30 days): Both parties negotiate to resolve through email or telephone
  • Mediation(30 days): If negotiation fails, both parties may seek third-party mediation
  • Arbitration: If mediation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC)for arbitration

 

10.3 Arbitration Clause

  • Arbitration location: Beijing
  • Arbitration language: Chinese or English
  • Arbitration costs: Borne by the losing party
  • Arbitration award is final and binding on both parties

 

11.Policy Modifications

11.1 Right to Modify

We reserve the right to modify these Terms and Conditions at any time.

 

11.2 Modification Notice

  • Major modifications will be notified 30 days in advanceby email or website
  • Minor modifications may not be separately notified
  • Your continued use of the website indicates acceptance of the modified terms

 

11.3 Effective Date

Modified terms become effective immediately upon notification.

12.1 Entire Agreement
